Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ai.FOUNDRY platform and the website at ai-foundry.dev (the “Service”), operated by KIOT Wireless Technologies Ltd (“KIOT”, “we”, “us”). By accessing or using the Service, you agree to these Terms.

1. Acceptance of terms

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.

2. The Service

ai.FOUNDRY provides agentic coding and chatbot capabilities by combining third-party large-language models with our own orchestration and specialized agents. Features, models, and limits may change over time as we improve the Service.

3. Accounts and API keys

Access may be provided through accounts and per-customer API keys. You are responsible for keeping credentials and keys confidential, for all activity that occurs under your keys, and for promptly notifying us of any unauthorized use. Usage is metered per key.

4. Acceptable use

You agree not to use the Service to:

• violate any law or the rights of others, or generate unlawful, harmful, or infringing material;
• attempt to disrupt, overload, reverse engineer, or circumvent the security, rate limits, or metering of the Service;
• resell or provide the Service to third parties except as expressly permitted; or
• submit content you do not have the rights to submit.

5. Your content

You retain all rights to the content you submit (“Customer Content”). You grant KIOT a limited, non-exclusive license to process Customer Content solely to operate and provide the Service, including routing it to model providers acting as our sub-processors. As between you and us, outputs generated for you from your inputs are yours, subject to these Terms and any third-party model provider terms.

6. AI outputs and no professional advice

The Service uses probabilistic AI models. Outputs may be inaccurate, incomplete, or unsuitable for your purpose, and may not be unique to you. You are solely responsible for reviewing, testing, and validating any output (including code) before use. Outputs do not constitute legal, financial, medical, or other professional advice.

7. Fees

Where the Service is offered on a paid basis, fees, metering, and billing terms will be set out in a separate order or agreement. Unless otherwise stated, fees are exclusive of applicable taxes, which are your responsibility.

8. Our intellectual property

The Service, including its software, agents, orchestration, design, and the ai.FOUNDRY name and marks, is owned by KIOT and protected by law. Except for the rights expressly granted to you, no rights are transferred. You may not use our marks without prior written permission.

9. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, KIOT will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim, or CAD $100 if you have paid nothing.

11. Indemnification

You agree to indemnify and hold harmless KIOT and its personnel from claims, losses, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or as needed to protect the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination (including sections 5, 6, 8–11, and 13) will survive.

13. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in British Columbia will have exclusive jurisdiction, subject to any mandatory rights you have under applicable law.

14. Changes to these terms

We may update these Terms from time to time. We will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
